Dem Bundeskartellamt steht nach § 41 IV Nr. 3 GWB (Gesetz gegen Wettbewerbsbeschränkungen = Kartellgesetz) das Zwangsmittel der Einsetzung eines Entflechtungstreuhänders zu, um eine nach Fusionskontrollrecht rechtswidrige Fusion zu entflechten. Nach bisheriger Ansicht übt dieser Entflechtungstreuhänder private Rechtsmacht aus, vergleichbar mit dem Insolvenzverwalter. Demgegenüber gelangt die vorliegende Untersuchung zu dem Ergebnis, dass der Entflechtungstreuhänder hoheitliche Gewalt ausübt und damit Beliehener ist. Die rechtlichen Fogen sowohl der bisherigen als auch der vorliegenden Ansicht werden im Hinblick auf einzelne Problemstellungen herausgearbeitet und einander gegenüber gestellt. Praktisch wichtige Unterschiede sind beispielsweise die Bindung des Entflechtungstreuhänders an Grundrechte sowie das Eingreifen von Staatshaftungsrecht.
The German Federal Cartels Office has got the possibility to appoint a trustee to decartelise an illegal fusion. According to the prevailing opinion, this decartelisation trustee acts in a private capacity, like a trustee in bankruptcy. This examination leads to the result that the decartelisation trustee acts as state's authority. Both opinions are compared. An important difference between them is the state's liability for actions of the decartelisaction trustee, according to the opinion set out in this examination.
